Effective Date: 10-01-2025
This Software-as-a-Service Agreement (“Agreement”) is between Web Solutions Marketing, LLC (“WSM,” “we,” or “our”) and the undersigned client (“Client,” “you,” or “your”).
By purchasing, signing, or using the Smart-Site AI Plan, Client agrees to the following terms.
1. Services Provided
WSM will build, host, and maintain a Smart-Site AI for Client.
The Smart-Site AI Plan includes:
Professionally designed, mobile-responsive website hosted and maintained by WSM.
Integrated forms, calendar booking, and lead-capture tools.
CRM dashboard access for managing contacts, messages, and marketing automation.
Ongoing hosting, security updates, and basic technical support during an active subscription.
Optional upgrades (AI Voice Receptionist, memberships, communities, or additional automations) may be added under a separate agreement.
2. Fees & Trial Period
One-Time Setup Fee: $500 (less any promotional discount applied at checkout).
Monthly Hosting & Maintenance: $147 per month after a 14-day free trial.
Trial begins on the date of checkout or signature of this Agreement.
Any promotional coupon or trial extension must be stated in writing.
3. Payment Terms
Setup fee is due upon signing or online checkout.
Monthly hosting begins automatically after the 14-day trial and recurs each month until canceled.
All payments are non-refundable.
Client authorizes WSM to charge the payment method on file for subscription renewals and any additional usage charges.
Failure to maintain a valid payment method may result in suspension or termination of services.
4. Client Responsibilities
Client agrees to:
Provide accurate business and branding information and timely feedback during setup.
Maintain current payment information and comply with all applicable marketing and data-protection laws.
Use the Smart-Site solely for lawful business purposes and refrain from posting or transmitting any illegal or harmful content.
5. Term & Cancellation
This Agreement renews month-to-month after the trial period.
Either party may cancel with 30 days’ written notice.
Upon cancellation, hosting remains active through the paid billing cycle, then access is removed.
Setup fees and monthly payments are non-refundable.
Client data may be deleted 30 days after termination unless requested otherwise in writing.
6. Intellectual Property & License
All templates, code, designs, and proprietary materials remain the exclusive property of WSM.
Client receives a non-exclusive, non-transferable license to use the hosted Smart-Site for its own business while the subscription is active.
Client may not copy, resell, or re-brand any WSM intellectual property without written consent.
7. Data Security & Confidentiality
WSM employs commercially reasonable safeguards to protect Client data.
Both parties agree to keep all non-public information confidential.
Client acknowledges that cloud-based services involve Internet transmission and absolute security cannot be guaranteed.
8. Limitation of Liability
WSM’s total liability shall not exceed the fees paid by Client in the 30 days preceding any claim.
WSM shall not be liable for indirect, incidental, or consequential damages, including lost profits or data.
9. Indemnification
Client shall indemnify and hold harmless WSM and its affiliates from any claims or damages arising from Client’s misuse of the Smart-Site or breach of this Agreement.
10. Governing Law
This Agreement is governed by the laws of the State of Arkansas, without regard to conflict-of-law rules.
Venue shall lie in Pope County, Arkansas.
11. Entire Agreement & Amendments
This Agreement, together with WSM’s Terms of Service and Privacy Policy, constitutes the entire understanding between the parties.
WSM may update these terms periodically; continued use constitutes acceptance.
Client Acceptance
