Effective Date: 10-01-2025
This Software-as-a-Service Agreement (“Agreement”) is between Web Solutions Marketing, LLC (“WSM”) and the undersigned Client.
By purchasing, signing, or using the Business Pro AI Plan, Client agrees to these terms.
1. Services Provided
The Business Pro AI Plan combines all features of the AnswerPro AI Plan and Smart-Site AI Plan, plus advanced business-management and community tools.
Included services:
AI Receptionist with call handling, scheduling, and contact capture.
Smart-Site with integrated CRM, automation, and analytics dashboard.
Membership & Community Modules for customer portals or training areas.
Email & SMS Campaign Tools, appointment reminders, and reputation-management automations.
Ongoing hosting, updates, and dedicated technical support.
2. Fees & Trial Period
One-Time Setup Fee: $747 (less any promotional discount).
Monthly Hosting & Maintenance: $197 per month after a 14-day free trial.
Trial begins on the date of checkout or signature.
Promotional discounts or trial extensions must be confirmed in writing.
3. Payment Terms
Setup fee due at signing or checkout.
Monthly hosting begins automatically after the trial and continues until canceled.
All fees are non-refundable.
Client authorizes recurring billing via the payment method on file.
Failure to maintain valid payment information may result in suspension of services or deletion of data.
4. Client Responsibilities
Client shall:
Provide complete and accurate information during onboarding.
Maintain an active payment method and follow all relevant data-privacy and marketing laws.
Use the platform only for lawful business purposes and ensure its users do the same.
5. Term & Cancellation
Agreement renews month-to-month after the trial.
Either party may cancel with 30 days’ written notice.
Access remains active through the current paid cycle, then terminates.
All setup and subscription fees are non-refundable.
Client data will be retained for 30 days post-termination unless otherwise requested.
6. Intellectual Property & License
All AI technology, templates, code, designs, and educational materials remain WSM’s property.
Client receives a limited license to use the hosted software and related assets for internal business operations while the subscription is active.
Reproduction, resale, or redistribution is prohibited.
7. Data Security & Confidentiality
WSM uses commercially reasonable security measures and agrees to keep Client data confidential.
Client understands that Internet transmission involves inherent risk and absolute security cannot be guaranteed.
8. Limitation of Liability
WSM’s total liability shall not exceed fees paid in the 30 days prior to the event giving rise to any claim.
WSM shall not be liable for indirect or consequential damages, including loss of income or business interruption.
9. Indemnification
Client agrees to indemnify and hold WSM harmless from any losses or claims arising from misuse of the platform or violation of this Agreement.
10. Governing Law
This Agreement is governed by the laws of Arkansas.
Venue for any dispute shall be in Pope County, Arkansas.
11. Entire Agreement & Updates
This Agreement, together with WSM’s Terms of Service and Privacy Policy, represents the full understanding between the parties.
WSM may modify these terms from time to time; continued use signifies acceptance.
