Effective Date: 10-1-2025
This Software-as-a-Service Agreement (“Agreement”) is between Web Solutions Marketing, LLC (“WSM,” “we,” or “our”) and the undersigned client (“Client,” “you,” or “your”). By purchasing, signing, or using the AnswerPro AI Plan, Client agrees to the following terms.
1. Services Provided
WSM will build, host, and maintain an AI Voice Agent under the AnswerPro AI Plan.
The service includes:
AI Receptionist and scheduling capabilities setup and training using Client-provided business information.
CRM dashboard access for call logs, contacts, and automation workflows.
Ongoing hosting, maintenance, and basic technical support during an active subscription.
Additional features, integrations, or marketing services may require a separate written agreement.
2. Fees & Trial Period
One-Time Setup Fee: $247 (less any promotional discount applied at checkout).
Monthly Hosting & Maintenance: $97 per month after a 14-day free trial.
The 14-day trial begins on the date of checkout or signature of this Agreement.
Promotional coupons or trial extensions, if any, must be listed in writing.
3. Payment Terms
The setup fee is due upon signing or online checkout.
The monthly hosting fee begins automatically after the 14-day trial and recurs each month until canceled.
All payments are non-refundable.
Client authorizes WSM to charge the payment method on file for all subscription renewals and applicable usage charges.
Failure to maintain a valid payment method may result in service suspension or termination.
4. Customer Responsibilities
Client agrees to:
Provide accurate business information, branding materials, and access credentials necessary for setup.
Maintain active payment information and timely communication during onboarding.
Ensure compliance with all applicable marketing, telecommunication, and privacy laws (including TCPA, CAN-SPAM, and GDPR if applicable).
Use the service only for lawful business purposes.
5. Term & Cancellation
The Agreement renews month-to-month after the trial period.
Either party may cancel with 30 days’ written notice to the other party.
Upon cancellation, hosting and AI services remain active through the paid billing cycle, after which access is revoked.
Setup fees, monthly fees, and usage charges are non-refundable.
Client data may be deleted 30 days after account termination unless otherwise requested in writing.
6. Intellectual Property & License
All software, templates, code, designs, and training materials are owned exclusively by WSM.
WSM grants Client a non-exclusive, non-transferable, revocable license to use the hosted platform and deliverables for Client’s internal business purposes while the subscription remains active.
Client may not copy, resell, redistribute, or rebrand any part of the system without prior written consent.
7. Data Security & Confidentiality
WSM implements commercially reasonable safeguards to protect Client data.
Both parties agree to maintain the confidentiality of proprietary or personal information obtained through this Agreement.
However, Client acknowledges that cloud-based services inherently involve transmission over the Internet and absolute security cannot be guaranteed.
8. Limitation of Liability
WSM’s total cumulative liability under this Agreement shall not exceed the total fees paid by Client in the 30 days preceding the event giving rise to the claim.
In no event shall WSM be liable for indirect, incidental, special, or consequential damages, including loss of profits, data, or goodwill.
9. Indemnification
Client agrees to indemnify and hold harmless WSM, its affiliates, and employees from any claims, losses, or damages arising out of Client’s misuse of the services, violation of applicable laws, or breach of this Agreement.
10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Arkansas, without regard to conflict-of-law principles.
Venue for any dispute shall be in Pope County, Arkansas.
11. Entire Agreement & Amendments
This document, along with WSM’s Terms of Service and Privacy Policy, constitutes the entire agreement between the parties and supersedes all prior proposals or communications.
WSM may update these terms from time to time. Continued use of the service constitutes acceptance of any updates.
Client Acceptance
By signing below or completing online checkout, Client acknowledges that they have read and agree to all terms of this Agreement.
